Whatmore guided Sri Lanka win the 1996 World Cup and also helped Bangladesh build into a strong cricketing nation during the 2003-07 period.
The BCA held its Apex Council meeting on Tuesday during which the decision to hold the AGM was taken.
Whatmore, 66, was appointed in April while Lal, 65, guided Bengal to the Ranji Trophy final in March.
